Terms and Conditions of Sale

1. General

1.1 These Terms and Conditions (“Terms”) apply to all sales of goods (“Goods”) supplied by Tilelogic (“the Company”) to any customer (“the Buyer”).

1.2 No variation of these Terms shall be binding unless agreed in writing by the Company.

1.3 Placement of an order by the Buyer constitutes acceptance of these Terms.

2. Quotations and Prices

2.1 All quotations are valid for 30 days from the date of issue unless otherwise stated.
2.2 Prices are exclusive of VAT, delivery, and any other applicable charges unless otherwise specified.
2.3 The Company reserves the right to alter prices without prior notice in the event of manufacturer or supplier price changes, currency fluctuations, or errors and omissions.

3. Payment Terms

3.1 Payment is due as stated on the Company’s invoice, unless otherwise agreed in writing.

3.2 The Company reserves the right to charge interest on overdue accounts at 4% above the Bank of England base rate.

3.3 Ownership of Goods shall not pass to the Buyer until payment has been received in full.

4. Delivery

4.1 Delivery dates are estimates only and the Company shall not be liable for any delay or failure in delivery.
4.2 Risk in the Goods passes to the Buyer upon delivery.
4.3 Any shortages, damages, or discrepancies must be reported in writing within 48 hours of delivery.

5. Returns Policy

5.1 The Company may, at its discretion, accept the return of Goods supplied correctly against the Buyer’s order, provided:

5.2 All returned Goods are subject to a restocking charge.

5.3 Carriage charges for returned Goods are the responsibility of the Buyer.
5.4 Special order, discontinued, clearance, or bespoke items are non-returnable.
5.5 Refunds or credits (less applicable charges) will be issued only after inspection and acceptance of returned Goods by the Company.

6. Faulty or Damaged Goods

6.1 Goods received damaged or defective must be reported to the Company within 48 hours of delivery.
6.2 The Company’s liability shall be limited to the replacement of faulty Goods or refund of the purchase price, at its discretion.
6.3 No claims for consequential loss or damage will be accepted.

7. Liability

7.1 Except as expressly provided in these Terms, the Company shall not be liable for any indirect, incidental, or consequential losses arising out of the supply or use of Goods.
7.2 The Company’s total liability shall in no circumstances exceed the price of the Goods supplied.

8. Force Majeure

The Company shall not be liable for failure to fulfil any obligation where such failure is caused by circumstances beyond its reasonable control, including but not limited to strikes, fire, flood, transport delays, or supplier failure.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
